Terms & Conditions — The Vault

1. What Are These Terms?
Thank you for your interest in The Vault. These terms and conditions (as amended from time to time, these "Terms") apply to the The Vault mobile application (the "App") and the website at thevaultpokerapp.com (the "Site"), together the "Services". By creating an account, clicking "agree" (or similar), or accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.
2. What Is The Vault?
The Vault is a recording and analytics tool for home poker games, developed and operated by Shahar Ben-David ("The Vault", "we", "us", "our"). The Vault lets players create clubs, schedule sessions, record buy-ins, rebuys and results, and track balances, leaderboards and statistics among people who already play poker together.
The Vault is not a gambling platform. We do not offer real-money gambling, do not operate or host any game, do not accept, process, hold or transmit funds, and do not set odds or take a cut of any pot or wager. The Vault is a bookkeeping and record-keeping tool for games that take place independently of the App, among players who choose to play together. Any money that changes hands between players does so directly between them, outside the App, and is entirely their own responsibility.
Legal disclaimer: You are solely responsible for ensuring that any poker games you organize, host or participate in, and any money that changes hands in connection with them, comply with the gambling, gaming and any other applicable laws of your jurisdiction. We make no representation that use of the App is appropriate or legal in any particular jurisdiction, and it is your responsibility to comply with local law.
3. Eligibility and Accounts
3.1 Age. To create an account you must be at least 18 years old. By registering, you represent that you meet this requirement. The Services are not intended for anyone under 18, and we do not knowingly allow anyone under 18 to create an account.
3.2 Registration. To use the App you sign in with Apple Sign In and provide a unique name and, where applicable, an email address. You agree to provide accurate information and to keep it up to date.
3.3 Account security. You are responsible for maintaining the security of your account and for all activity that occurs under it. Notify us immediately at Contact@thevaultpokerapp.com of any unauthorized use of your account.
3.4 One account per person. Accounts are personal to you and may not be shared, sold or transferred.
4. Clubs, Sessions and Content You Provide
4.1 Clubs and sessions. You may create or join clubs, host or attend sessions, and enter game data (buy-ins, rebuys, results, balances) and club rules. You are responsible for the accuracy of the information you enter.
4.2 Visibility. Information about your participation in sessions — including your name, results, statistics, leaderboard position and rank tags — is visible to other members of the clubs or groups you belong to. Do not join a club whose members you do not want to see this information.
4.3 Your content. You retain ownership of the game data, club rules and other content you submit to the App ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free license to store, process, display and use Your Content solely to operate, maintain and improve the Services. You represent that you have the right to submit Your Content and that it does not violate any third party's rights.
5. Acceptable Use
You agree not to:
use the Services for any unlawful purpose, or in violation of any applicable gambling, gaming or consumer protection law;
harass, abuse, threaten or impersonate any other user;
manipulate, falsify or tamper with session data, balances or results in a way intended to mislead other users;
attempt to gain unauthorized access to the Services, other users' accounts, or our systems;
reverse engineer, decompile or attempt to extract the source code of the App, except where permitted by law;
use the Services to facilitate, promote or process real-money gambling outside the context of a private game between people who already know each other; or
upload content that is illegal, defamatory, or infringes the rights of any third party.
We may suspend or terminate your account if we reasonably believe you have violated these Terms.
6. Third-Party Payments
The App does not process, hold, transmit or have any connection to money or payments of any kind. Any amounts recorded in the App (buy-ins, rebuys, results, balances) are numbers entered by users for their own record-keeping. If players choose to settle amounts between themselves, they do so entirely on their own and outside the App, using whatever method they prefer. We have no involvement in, and no responsibility for, any such arrangement between players.
7. Intellectual Property
7.1 Our rights. The Vault, our logo, and all software, design and content that make up the Services (other than Your Content) are owned by us or our licensors. You may not copy, modify, distribute, sell, or create derivative works based on the Services without our prior written permission.
7.2 License to use the App. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the App on your own device for personal, non-commercial use.
8. Termination
8.1 By you. You may stop using the Services and delete your account at any time, in the App under Settings > Delete Account, or by emailing Contact@thevaultpokerapp.com.
8.2 By us. We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms, if we are required to do so by law, or if we discontinue the Services generally. Where reasonably possible, we will provide notice of termination.
8.3 Effect of termination. On termination, your right to use the Services ends. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Liability and Governing Law) will survive.
9. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that recorded results and balances will always be accurate — you are responsible for verifying and settling amounts with other players directly.
10. Limitation of Liability
To the fullest extent permitted by law, our total liability to you arising out of or relating to these Terms or the Services will not exceed the greater of (a) any amount you have paid us in the twelve months before the claim arose, or (b) 500 NIS. We are not liable for indirect, incidental, consequential or punitive damages, or for any money, winnings, or losses arising from games played, or payments made, between players, whether or not recorded in the App.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
11. Indemnity
You agree to indemnify and hold us harmless from any claims, damages, losses and expenses (including reasonable legal fees) arising from your use of the Services, Your Content, your violation of these Terms, or your violation of any rights of another person.
12. Modifications to These Terms
We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, where changes are material, notify you through the App or the Site. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
13. Governing Law and Jurisdiction
These Terms and your use of the Services are governed by the laws of the State of Israel, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts in Israel.
